Mill Landscapes – Terms of Trade
These Terms of Trade apply to all work carried out by Mill Landscapes ("we", "us", "our") for the client ("you"). By accepting a quote, engaging our services, or allowing work to proceed, you agree to these Terms of Trade.
1. Quotes & Scope of Works
All work is carried out in accordance with the agreed quote or scope of works. Any changes, variations, or additional work requested or required due to unforeseen circumstances will be discussed and approved before proceeding and may result in additional charges.
Quotes are valid for the period stated on the quote. If acceptance occurs after this period, pricing may be reviewed.
2. Pricing & GST
All prices are exclusive of GST unless stated otherwise. GST will be added to invoices at the current rate.
Pricing is based on information available at the time of quoting. Changes in material costs, availability, or site conditions may affect the final price.
3. Deposits & Payment
A deposit may be required before work commences, as outlined in the quote.
Unless otherwise agreed in writing:
The balance is payable upon practical completion of the works
Progress payments may be required for larger or staged projects
Invoices must be paid within the timeframe stated on the invoice.
4. Website & Package Pricing
Any pricing displayed on our website, including package pricing, standardised items, or example project costs, is provided as a general guide only.
All website pricing is indicative and subject to site conditions, design requirements, material selection, access, council requirements, and market fluctuations.
A formal written quote will be provided following site inspection and consultation. Only a written quote issued directly by Mill Landscapes constitutes a binding price.
We reserve the right to amend website pricing at any time without notice.
5. Late Payment
If payment is not made by the due date, we reserve the right to:
Charge interest on overdue amounts
Recover any reasonable costs incurred in collecting overdue payments (including debt collection or legal fees)
Suspend work until payment is brought up to date
6. Ownership of Materials
Ownership of all materials supplied remains with Mill Landscapes until full payment has been received. We reserve the right to remove unpaid materials from site where legally permissible.
7. Site Conditions & Client Responsibilities
You are responsible for ensuring:
Clear and safe access to the site
That underground services, irrigation, and utilities are identified and disclosed
We are not responsible for damage to hidden or unmarked services or structures.
Unexpected site conditions (such as poor ground, obstructions, or unknown services) may result in additional costs.
8. Delays & Force Majeure
Project timelines may be affected by factors outside our control, including weather, supplier delays, or unforeseen events. We are not liable for delays caused by these circumstances but will communicate openly if they arise.
9. Health & Safety
We will comply with our obligations under the Health and Safety at Work Act 2015. You agree to cooperate with reasonable health and safety requirements while work is being carried out on your property.
10. Damage & Liability
All reasonable care will be taken during works. To the fullest extent permitted by law:
We are not liable for indirect or consequential loss
Our liability is limited to the value of the work carried out
Nothing in these terms limits your rights under the Consumer Guarantees Act 1993 where applicable.
11. Maintenance & Establishment
Unless specifically included in writing, ongoing maintenance, watering, and plant establishment are the responsibility of the client once practical completion has occurred.
12. Suspension or Termination
We reserve the right to suspend or terminate work if:
Payments are overdue
Safety concerns arise
We are unable to reasonably continue due to client actions or circumstances beyond our control
You will be responsible for payment for all work completed up to the date of suspension or termination.
13. Dispute Resolution
If a dispute arises, both parties agree to act in good faith and attempt to resolve the matter through discussion before taking further action.
14. Governing Law
These Terms of Trade are governed by the laws of New Zealand.
